Detailed Scope & Process
What Is Startup Valuation?
Startup valuation is the estimation of what an early-stage or growth-stage company is worth, usually to price an investment round, to understand dilution or to support other corporate actions. It is harder than valuing an established business because there is little financial history, revenue may be small or absent, and most of the value lies in future potential.
Because of this, startup valuation combines quantitative methods with judgement. Common approaches include comparable transactions and market multiples from similar companies, the venture capital method that works backwards from an expected exit value and target return, scenario-based discounted cash flow with high discount rates, and judgement-based frameworks such as the scorecard and Berkus methods for very early stage companies. The last funding round price is also a major reference.
The structure of the investment matters as much as the headline valuation. Preference rights, liquidation preferences, convertible instruments such as compulsorily convertible preference shares, the ESOP pool and anti-dilution rights all change what each share is worth and who gets what on exit. Startup valuation therefore looks at the cap table and the instruments as well as the company. Valuation, due diligence and professional opinion are different things. A valuation estimates value; due diligence investigates facts; a professional opinion is a formal view given by a qualified professional, such as a legal opinion or a certificate. An indicative valuation prepared for planning or negotiation is not a statutory valuation. Where the law requires a valuation or certificate from a registered valuer, a SEBI-registered merchant banker, a chartered accountant or a cost accountant, that report must be issued and signed by that professional, and we coordinate with the appropriate registered professional.
Who Needs Startup Valuation?
- Founders preparing for a pre-seed, seed or later funding round
- Angel investors and early-stage funds evaluating price
- Startups issuing shares or CCPS and needing the right valuation report
- Companies setting up or revising ESOPs
- Founders needing to understand dilution
- Startups with foreign investors
- Startups preparing for acquisition or secondary transactions
When Is Startup Valuation Required?
A valuation is not required for every conversation with investors, but it is needed or useful when:
- A round is being priced and founders want a reasoned basis for negotiation
- The company issues shares on a preferential basis and the Companies Act requires a registered valuer's report
- A non-resident invests and FEMA pricing certification is required
- ESOPs are granted or exercised and a valuation is needed
- The cap table has multiple instruments and per-share values must be understood
- An acquirer or secondary buyer needs a basis of value
- The company needs board support for the price of an issue

Legal and Practical Considerations
Companies Act. Preferential allotment of shares, which includes most fundraising from selected investors, requires a valuation report from a registered valuer under Section 62(1)(c) of the Companies Act, 2013 and Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014, together with the special resolution and other compliances. A valuer registered with IBBI in the securities or financial assets class must give the report.
FEMA pricing for foreign investors. The price at which an unlisted company issues shares to a non-resident cannot be lower than the fair value determined under an internationally accepted pricing methodology on an arm's length basis, certified by a chartered accountant, SEBI-registered merchant banker or practising cost accountant as applicable. Discounted cash flow is the method most commonly used for startups. Reporting to the RBI must follow the issue.
Angel tax. The earlier income tax charge on share premium above fair market value, known as angel tax, was abolished for issues from FY 2025-26 and was not re-enacted in the Income-tax Act, 2025, so there is no longer an income-tax ceiling on the premium for this purpose. The Companies Act and FEMA valuation requirements remain, and founders should confirm the tax position for their case with a tax professional.
Valuation is negotiated. A startup's price is set by negotiation between founders and investors, informed by valuation and by market conditions. A valuation supports the negotiation and does not fix the price.
DPIIT recognition. Recognition under the Startup India framework does not itself determine valuation, but a recognised startup may have access to other programmes and benefits subject to their own conditions.
ESOPs. Valuation of ESOP shares may be needed for accounting and tax purposes, and the tax rules for the perquisite should be confirmed with a tax professional.
Common Mistakes in Startup Valuation
- Treating a valuation as a formula and ignoring market conditions
- Using optimistic projections as the main basis
- Focusing on headline valuation and ignoring preference terms and liquidation preferences
- Ignoring the ESOP pool and future dilution in the cap table
- Not obtaining the registered valuer's report for a preferential allotment
- Pricing below the FEMA floor for non-resident investors
- Using an old valuation after the company's position has changed
- Over-negotiating valuation at the expense of terms
Professional Fees, Government Fees and Timeline
There is no government fee for an indicative startup valuation. Fees of registered valuers, merchant bankers or chartered accountants for statutory reports are separate. ROC and RBI filing fees and stamp duty for the issue are also separate. Our professional fees depend on stage, complexity of the cap table and the number of scenarios. An indicative valuation typically takes 5 to 12 working days after information is received.
Startup Valuation vs Valuation for Fundraising vs Business Valuation
Startup valuation uses methods suited to early-stage companies. Valuation for fundraising focuses on the pricing and compliance of a specific round. Business valuation is broader and suits established businesses. Related services include Valuation for Fundraising, Equity Valuation and Startup Funding Advisory.
